Acceptable Use / Photo & Content Policy
Lay-It-Down Wholesale (the "Service") is a private wholesale workflow for verified dealer organizations and verified wholesale buyer organizations. Content in the Service exists for one purpose: presenting a wholesale unit accurately to the buyers the dealer selects, and completing the private offer and messaging workflow around that unit.
This policy applies to everything uploaded or entered into the Service by any user — listing photos, listing details, unit notes, offers, and messages. It is part of the Terms of Service, and violations of this policy are violations of the Terms of Service.
The core rule: unit information only — never customer information.
1. Permitted use and content
The following is appropriate for the Service:
- Dealer-authorized unit listings. Listings created by a dealer organization with the right and authority to offer the unit for wholesale.
- Legitimate unit photos. Exterior, interior, roof, undercarriage, and feature photos of the actual unit listed.
- Condition and damage photos. Honest documentation of wear, damage, water intrusion, delamination, or needed repairs.
- Odometer or hour-meter photo evidence where applicable.
- Authorized VIN, stock number, or other unit identifiers, where the dealer is authorized to share them and they are appropriate for the wholesale presentation.
- Wholesale-relevant notes. Mechanical notes, known issues, options, and disclosures the dealer chooses to make about the unit.
- Legitimate private offers and messages. Genuine offers, and listing-thread messages used for questions, clarifications, logistics, and follow-ups about that unit.
Dealers are responsible for ensuring photos and content are legitimate, depict the actual unit listed, and are shared with proper authority.
2. Prohibited content — customer and other sensitive personal information
The Service handles wholesale unit information only. The following must never be uploaded or entered into the Service, whether in photos, listing fields, notes, offers, or messages:
- Customer names.
- Customer phone numbers, email addresses, or other contact details.
- Customer home addresses.
- Driver's licenses (images or numbers).
- Title documents (images of titles).
- Finance documents.
- Credit applications.
- Insurance documents.
- Customer paperwork of any kind, including deal jackets, buyer's orders, purchase agreements, and trade-in appraisals bearing customer information.
- Banking details, account numbers, or payment credentials.
- Payment-card information.
- Government identification documents or numbers.
- Employee rosters or personnel records.
- Customer lists or vendor lists.
- Any other readable personal information, including information visible incidentally in a photo — for example, paperwork on a desk or dashboard, a screen in the background, a registration or insurance card in the glove box, a readable plate or registration tied to a person, or documents left inside the unit.
Check photos before uploading. A photo of the unit is prohibited if it captures readable personal information, even unintentionally. Re-shoot or crop the photo so no such information is readable. Photo files may also contain embedded device metadata, including location information. The Service does not currently remove that metadata for you. Remove metadata that is personal, sensitive, or unnecessary for the wholesale unit workflow before uploading.
We do not want this content in the Service, and this policy prohibits submitting it. If prohibited content is nonetheless uploaded, we may remove or disable it when we identify it or receive a report, and we may take further action under the Terms of Service. Uploading customer personal information is a serious violation.
3. Prohibited conduct
Users and organizations must not:
- Create illegal or fraudulent listings, or use the Service to further illegal activity.
- Misrepresent a unit, its condition, its history, or its ownership, including through staged, edited, or selectively chosen photos intended to conceal damage.
- List a unit without the right and authority to offer it for wholesale.
- Make offers with no intention of honoring them, or accept offers with no intention of completing the deal.
- Harass, threaten, or abuse other users or our personnel.
- Impersonate any person or organization, or misrepresent identity, authority, role, or verification status.
- Engage in unlawful discrimination.
- Post obscene, offensive, or abusive material.
- Upload malware or any code intended to harm or interfere with the Service, its infrastructure, or other users.
- Attempt to steal, phish, or harvest credentials, or access another user's account.
- Scrape, harvest, or compile information about other organizations or users, or attempt to build a directory of buyers or dealers from the Service.
- Use bots, scripts, or other unauthorized automation to access or use the Service.
- Reverse engineer, decompile, or disassemble the Service, except to the extent that restriction is prohibited by law.
- Probe, scan, or test the vulnerability of the Service, or attempt any form of security testing, without our prior written permission.
- Circumvent or attempt to circumvent access controls, authentication, or organization-based permissions, or access data belonging to other organizations.
- Share accounts or credentials, or provide Service access to anyone outside the user's organization.
- Publicly disclose private listings, photos, offers, messages, or activity records obtained through the Service, except as permitted by the Terms of Service.
- Infringe or misappropriate any intellectual-property right, including uploading photos or content the user does not have the right to use.
- Manipulate, falsify, or attempt to alter activity records, offer histories, or workflow states.
- Interfere with the operation of the Service or impose an unreasonable load on its infrastructure.
4. Reporting
Any user may report a listing, photo, message, offer, or user they believe violates this policy or the Terms of Service.
- How to report: email support@layitdownapp.com with a description of the concern and where it appears (the listing, thread, or user involved). Do not include customer personal information in the report itself beyond what is necessary to identify the content.
- We review reports in a commercially reasonable manner, taking account of severity, safety, available information, and the need to investigate.
- The reporter's identity is handled in accordance with the Privacy Policy and is not shared with the reported party except as reasonably necessary to address the report or as required by law.
5. Review, removal, and enforcement
- We may review content for support, security, integrity, and policy-enforcement purposes. We do not undertake a general obligation to pre-screen or monitor content, and we do not guarantee that every violation will be detected or removed immediately.
- We may remove or disable content that we believe violates this policy, the Terms of Service, or applicable law, and may ask the uploader to replace it with compliant content.
- Where uploaded content contains customer personal information, we may remove or disable it and, where practical, notify the uploading organization so it can correct the source practice.
- Repeat or serious violations — especially uploading customer personal information, fraudulent content, or security abuse — may lead to suspension or termination of the user or the organization under the Terms of Service.
- We may preserve content and records, and may cooperate with law enforcement and other authorities, where we believe in good faith that the law requires or permits it, as described in the Privacy Policy.
6. Copyright and other intellectual-property complaints
A rights holder or authorized representative may report claimed infringement by emailing support@layitdownapp.com. The report should identify the protected work or right, identify the specific content and its location in the Service, provide the reporting party's contact information and basis of authority, and explain in good faith why the use is unauthorized. We may request additional information reasonably needed to evaluate the report, remove or disable content, notify the organization that supplied it, or take other appropriate action. Affected users may request reconsideration under Section 7.
7. Appeals and reconsideration
If your content was removed or your access was restricted and you believe the decision was mistaken, you may ask us to reconsider by emailing support@layitdownapp.com with the details. We will review reconsideration requests in good faith. Decisions about continued access remain subject to the Terms of Service.
